Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, platform, programmes, and professional services offered by NeuralNarrativeAI Inc. ("NeuralNarrativeAI," "we," "us," or "our"), a corporation incorporated under the laws of Quebec, Canada, with its principal place of business at 1253 McGill College Avenue, Suite 700, Montreal, QC H3B 2Y5.
By accessing our website, enrolling in programmes, or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our services. These Terms constitute a legally binding agreement between you and NeuralNarrativeAI Inc.
1. Nature of Services
NeuralNarrativeAI provides an applied AI narrative intelligence platform, training programmes, and professional consulting services focused on LLM-powered storytelling infrastructure. Our services include narrative design, pipeline orchestration, governance advisory, validation setup, and deployment support.
NeuralNarrativeAI is not a marketing agency, web studio, or IT outsourcing firm. We do not create advertising campaigns, manage social media, build websites, or provide general software development. Our services are limited to applied AI narrative intelligence as described on our website and in applicable service agreements.
2. No Outcome Guarantees
NeuralNarrativeAI does not guarantee any specific business outcomes, including but not limited to engagement rates, conversion improvements, revenue growth, content virality, or operational cost savings. Narrative output quality depends on source data quality, editorial guidelines, human review processes, and third-party model behaviour — factors outside our control.
Any projections, examples, or case studies presented on our website or during sales discussions are illustrative only and do not constitute promises or warranties of results. Clients are responsible for evaluating whether our services meet their needs before engaging.
3. AI-Generated Content Disclaimer
Our platform uses large language models to generate narrative content. AI-generated content may contain factual inaccuracies, hallucinations, tone inconsistencies, or other errors. All generated content must be reviewed by qualified humans before publication, distribution, or operational use.
NeuralNarrativeAI is not liable for damages arising from reliance on AI-generated content without appropriate human review. Clients are responsible for establishing and maintaining review workflows appropriate to their use case and regulatory environment.
4. Account Registration and Eligibility
Certain services require account registration. You must provide accurate, complete information and keep your account credentials confidential. You are responsible for all activity under your account. You must be at least eighteen years of age and have authority to bind your organisation if registering on its behalf.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behaviour, or pose security risks.
5. Programmes and Training
Training programmes (NNA-101 through NNA-601) are subject to separate enrolment terms provided at registration. Programme fees are in Canadian dollars and exclude applicable taxes. Cancellation and refund policies are specified in enrolment materials. Programme content, schedules, and pricing may change; enrolled participants will be notified of material changes.
Programme materials, templates, and beat libraries are licensed for use by enrolled participants and their organisations during and after the programme, subject to intellectual property restrictions outlined in programme agreements. Redistribution, resale, or public disclosure of proprietary materials is prohibited without written consent.
6. Professional Services
Consulting and deployment services are governed by individual statements of work or master service agreements. In the event of conflict between these Terms and a signed service agreement, the service agreement prevails for that engagement. Service scopes, timelines, deliverables, and fees are defined in writing before work commences.
Client cooperation is required for successful service delivery. Delays caused by incomplete client data, unavailable stakeholders, or scope changes may result in timeline adjustments and additional fees.
7. Intellectual Property
NeuralNarrativeAI retains all rights to its platform, template catalogue, beat libraries, software, documentation, and proprietary methodologies. Clients receive licences as specified in applicable agreements.
Client data and custom narrative configurations developed specifically for a client remain the client's property, subject to NeuralNarrativeAI's right to use anonymised, aggregated data for platform improvement. Client-provided source data is processed solely for the purposes defined in service agreements and our Privacy Policy.
Feedback, suggestions, or ideas submitted to NeuralNarrativeAI may be used without obligation or compensation to improve our services.
8. Acceptable Use
You agree not to use our services to:
- Generate content that violates applicable laws or third-party rights
- Produce misleading, defamatory, harassing, or discriminatory content
- Circumvent governance gates, validation controls, or access restrictions
- Reverse engineer, decompile, or attempt to extract proprietary algorithms or templates
- Introduce malware, conduct unauthorised penetration testing, or disrupt platform operations
- Process personal information without appropriate consent and legal basis
- Resell, sublicense, or redistribute platform access without authorisation
Violation of acceptable use policies may result in immediate suspension or termination without refund.
9. Fees and Payment
Fees for programmes and services are specified in enrolment materials or service agreements. Payment terms are net thirty days unless otherwise agreed. Late payments may incur interest at the rate permitted by Quebec law. We reserve the right to suspend services for overdue accounts.
All fees are in Canadian dollars unless otherwise specified. Applicable federal and provincial taxes (GST, QST) are additional where required.
10. Confidentiality
Each party agrees to protect the other's confidential information with reasonable care and use it only for purposes of the engagement. Confidential information does not include information that is publicly available, independently developed, or rightfully received from third parties without restriction.
Confidentiality obligations survive termination of the engagement for a period of three years, except for trade secrets which remain protected indefinitely.
11. Limitation of Liability
To the maximum extent permitted by applicable law, NeuralNarrativeAI's total aggregate liability arising from or related to these Terms or our services shall not exceed the fees paid by you to NeuralNarrativeAI in the twelve months preceding the claim.
In no event shall NeuralNarrativeAI be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or reputational harm, regardless of the theory of liability and even if advised of the possibility of such damages.
These limitations do not apply to liability arising from gross negligence, wilful misconduct, or breaches of confidentiality obligations, to the extent such limitations are prohibited by applicable law.
12. Indemnification
You agree to indemnify and hold harmless NeuralNarrativeAI, its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, your content or data, or your violation of third-party rights.
13. Warranties Disclaimer
Our services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted, error-free, or secure operation of our platform or website.
14. Termination
Either party may terminate service agreements according to terms specified therein. We may suspend or terminate your access to our website or platform immediately for material breach of these Terms. Upon termination, your right to use our services ceases. Provisions that by their nature should survive termination (including intellectual property, confidentiality, limitation of liability, and governing law) shall survive.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the District of Montreal, Quebec. You irrevocably attorn to the jurisdiction of such courts.
Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
16. Consumer Protection
Where you qualify as a consumer under Quebec's Consumer Protection Act, certain provisions of these Terms may not apply to the extent they conflict with mandatory consumer protections. Nothing in these Terms limits rights that cannot be waived under applicable consumer protection legislation.
17. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, pandemics, government actions, internet outages, or third-party service provider failures. The affected party shall notify the other promptly and resume performance when circumstances permit.
18. Amendments
We may modify these Terms by posting updated versions on our website with a revised effective date. Material changes to Terms governing active service agreements require notice to affected clients. Continued use of our website after changes constitutes acceptance. For active engagements, changes take effect upon renewal or as specified in notice.
19. Severability
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.
20. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and applicable service agreements, constitute the entire agreement between you and NeuralNarrativeAI regarding the subject matter herein, superseding prior agreements and understandings.
